PUBLIC NOTICE – The Seneca Nation is seeking enrolled members of the Nation who are interested in serving on the:

SENECA NATION ENTERPRISE BOARD OF DIRECTORS

Purpose – The Board is organized for the purposes of managing the Nation’s Enterprises (Seneca Gaming & Entertainment, Seneca One Stop and Highbanks Campground). The Nation intends that the Board shall assume all obligations, responsibilities and duties of the Nation under the Enterprises except that the Nation reserves from the Board all regulatory, legislative and other governmental power.

Article 3 – The Board
3.1 Board. The Nation’s Enterprises shall be governed by a Board, subject to the provisions and limitations of the Nation’s laws, applicable federal laws and this Charter.

3.2 Purposes. The Board is established for the purpose of providing overall policy and strategic direction for the Enterprise operations of the Nation, consistent with this Charter and specific direction provided by Council.

3.3 Specific Powers. Subject to the provisions and limitations of the Nation’s laws, the Board shall have the power and authority to: See Charter Section 3.3

Qualifications of Board Members. Any candidate for the Board shall be eligible to serve as a member of the Board only if all of the following criteria are satisfied:
· Is at least twenty-one (21) years old;
· Is an enrolled member of the Seneca Nation;
· Has earned an associate degree or higher, preferably in gaming, hospitality, or a business-related field;
o At a minimum, at least one Board member must have a financial background – A Public Accountancy degree is preferred;
· Will be deemed a “Primary Management Official” and therefore must be eligible for and obtain a Class II “key” employee gaming license through the Seneca Gaming Authority, pass other necessary background checks, and maintain the license for the duration of the term as a board member.
· Prohibitions. Board members and their immediate family (or persons residing in the same household) shall be prohibited from conducting with or profiting from the activities of any of the Enterprises, whether directly or indirectly. This prohibition may not be waived. Board members shall be considered “Public officials” for purposes of the Nation’s Ethics Law. Additionally, the following persons are not eligible to serve as Board members (a) employees of the Nation’s Enterprises; (b) owners or employees of contractors who conduct business with the Enterprises; (c) owners or employees of a business in direct competition with the Enterprises; (d) persons directly related to persons listed in (a),(b) or (c). For purposes of this Charter “immediate family” and “persons directly related” means being related to a person in the following ways: (i) husband/wife (including unmarried cohabitating relationships), (ii) mother/father (iii) child (natural or adopted (iv) brother/sister (v) aunt/uncle (vi) niece/nephew or (vii) grandparent/grandchild.

MANAGEMENT COMMITTEE

Seneca Nation of Indians – Request for Qualifications

The Seneca Nation of Indians is seeking interested individuals to submit their qualifications to serve as a member of the Management Committee of Seneca Holdings, LLC. The company’s Management Committee currently has six seats up for appointment.

Pursuant to the Charter adopted by the Nation’s Council, every Management Committee member shall meet the following minimum qualifications:
• must be at least 21 years of age
• must have earned at least a high school diploma or equivalent
• have not been convicted of a felony, or other crime involving dishonesty, fraud, or otherwise involves a financial component (including, but not limited to, embezzlement or theft)
• provide information and submit to such background checks as necessary to ensure continued compliance with Federal disadvantaged business certification(s), security clearances and/or licenses as are from time to time held by the Company or its respective subsidiaries or management as part of its ongoing business operations.

The Nation’s Council shall appoint Management Committee members who, based on their experience, have established their independence, character and ability to exercise sound judgment, and who have demonstrated leadership skills, including financial knowledge and business management, and experience in the context of the needs of the Management Committee.

The Council plans to schedule interviews once Seneca Holdings, LLC has completed its background check and both Seneca Holdings, LLC and the Nation’s Clerk have certified that the individual is an eligible candidate for the Management Committee position. As such, candidates are strongly encouraged to submit their materials to Nation’s Clerk as soon as possible, in order to provide sufficient time for the background check and certification process to occur.

SNIEDC Board of Directors Vacancy

The Seneca Nation of Indians Economic Development Company (“SNIEDC”) is currently accepting letters of intent for those interested in serving on the SNIEDC Board of Directors.

The Seneca Nation of Indians Economic Development Company (“SNIEDC”) is a 501(c)(3) not-for-profit organization chartered by the Seneca Nation of Indians Tribal Council. As of December 2013, SNIEDC is a certified Native American Community Development Financial Institution (CDFI) through the Department of Treasury. SNIEDC has been providing financial assistance to Seneca businesses since 1993 and in that time has funded loans over $8 million to Seneca entrepreneurs.

SNIEDC Board of Directors typically meets the week after Tribal Council on Tuesday at 2 pm.

Each Director shall be at least twenty-five years of age. Individuals who are non-Seneca may be Directors; however, the majority of all existing members on the Board must at all times consist of enrolled Senecas. The membership of the Board overall shall be representative of the enrolled Seneca community at large and may meet one or more of the following criteria: representatives(s) from banking/financial institutions, legal and accounting professions; representative(s) from tribal government institutions (i.e. executive, council, cabinet and directors); representative(s) from civic and community organizations; representative(s) from business/corporate institutions; and representative(s) from community development and housing organizations.

· Must have relevant experience and/or education in Child Welfare or relevant field that will enable them to successfully serve in their role as a commissioner

The following persons are not eligible to serve on the FCLC:
Employees of the Nation’s Child & Family Services Program, owners or employees of contractors, those who conduct business with the Nation’s Child and Family Services Program, persons directly related to any of the above, persons convicted of any crime set forth in Section 8.4 (d) of Child Welfare Law, or persons who have been subject to an indicated child protection services report for child abuse or neglect.

SENECA NATION HEALTH BOARD

Purpose:
The purpose of the Seneca Nation Health Board (SNHB) is to provide strategic oversight, policy direction and guidance with respect to the Nation’s health care operations and facilities with an emphasis on the unique cultural aspects of the Seneca Nation and its people.

Mission
The Mission of SNHB is to provide strategic oversight, policy direction and guidance to the Nation’s Health Care Operations and Facilities as they provide, promote and improve the quantity and quality of Health care services available to individual members of the Seneca Nation (Nation) and to other eligible Indians, as determined by the Nation’s Council consistent with Nation and applicable federal law.

Vision
The Vision of the SNHB is to promote a comprehensive range of health services that addresses the holistic wellness of Seneca Members and to promote a productive and satisfying life for the next seven generations of Seneca Members consistent with the belief that physical, mental, social and spiritual functions are one.

Qualifications of Commissioners
• Each Board member may or may not be an enrolled member of the Nation.
• Board members shall be at least 21 years of age.
• Board members shall have relevant experience, knowledge and/or education in the health care industry or relevant health field that will enable them to serve successfully in their role as a Board member and be familiar with the unique cultural aspects of the Seneca Nation and its people.

• Board members shall have passed a background check by the Nation’s Human Resource Department.

• The following persons are not eligible to serve on the SNHB;
o employees of the Nation’s health care system;
o owners or employees of contractors (medical or otherwise), who conduct business with the Nation’s Health Care System;
o persons directly related (immediate family member including spouse, child, parent, sibling) to any of the above;
o persons convicted of a felony or of a crime of embezzlement, theft or of any other money related crime or honesty related crime, such as fraud.
• Board Members shall be considered “Public Officials” for purposes of the Nation’s Ethics Law.
